Terms of Service — Norquay AI Advisory

1. Acceptance of terms

By creating an account or using the Norquay AI Advisory platform (the "Service"), you agree to these Terms of Service on behalf of yourself and the business you represent. If you don't agree, don't use the Service.

Norquay AI Advisory is a subscription SaaS platform providing AI-assisted business tools (finance, marketing, customer service, and related skills) to small and medium businesses. Available features and limits depend on your subscription tier.

You retain ownership of the business data, customer information, and content you enter into the Service ("Client Data"). You grant us a limited license to process Client Data solely to provide the Service to you (including sending relevant data to our AI provider and other subprocessors as described in our Privacy Policy). We do not use your Client Data to train AI models, for our own marketing, or for any purpose other than operating the Service for you. You're responsible for having the right to submit any Client Data you upload, including your customers' information.

The Service, its software, and its branding are owned by Norquay AI Advisory. These terms don't grant you any ownership in the Service itself — only the right to use it under your subscription.

8. Disclaimers

The Service is provided "as is." AI-generated output (recommendations, drafts, analysis) is a tool to assist your business decisions, not a substitute for professional judgment — you're responsible for reviewing and verifying anything the Service produces before relying on it, especially for financial, legal, or tax matters.

9. Limitation of liability

To the maximum extent permitted by law, Norquay AI Advisory's liability arising from your use of the Service is limited to the amount you paid for the Service in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

10. Termination

We may suspend or terminate your account for a material breach of these terms (including a security violation or non-payment), with notice where practical. You may terminate by canceling your subscription at any time.

11. Changes to these terms

We may update these terms from time to time. Material changes will be communicated to active subscribers before taking effect.

12. Governing law

These terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein.
